1. About these Terms
1.1 Provider. Mountable is provided by WriteIt.ai s.r.o., ID No.
04518136, VAT No. CZ04518136, with its registered office at Na Folimance
2155/15, Vinohrady, 120 00 Prague 2, Czech Republic, registered in the
Commercial Register maintained by the Municipal Court in Prague under file
No. C 247717 ("we", "us" or the "Provider"). You can contact us at
support@mountable.io.
1.2 Scope. These Terms govern access to and use of mountable.io (the
"Website"), the Mountable console, API and other interfaces we operate, and
the hosted filesystem service (together, the "Service"). They form the
agreement between us and the Customer (the "Agreement"). The "Customer"
("you") is the person or legal entity that uses the Service.
1.3 Acceptance. The Agreement is concluded when you first sign in, create an organisation, accept these Terms in the console, or otherwise use the Service, whichever comes first. If you do not agree to these Terms, do not use the Service. If you accept for an organisation, you confirm that you are authorised to bind it. "Customer" then means that organisation.
1.4 Eligibility. You must be at least 18 years old to use the Service. These Terms are written mainly for business customers. A Customer who is a natural person acting outside their trade, business or profession is a "Consumer". Section 19 applies to Consumers, and mandatory consumer law prevails over anything in these Terms.
1.5 Other documents. The Agreement consists of these Terms, the price list published on the Website, and any separate agreement that we sign with you, which prevails where it says so. The Privacy Policy explains how we process personal data. Documentation, examples, status information and other product descriptions describe how the Service works from time to time. Informational descriptions do not create a service level or an additional contractual warranty. This does not exclude characteristics expressly agreed with the Customer, or pre-contractual information and public statements that mandatory consumer law makes binding. If such descriptions conflict with these Terms, these Terms prevail.
2. Definitions
- Organisation: the unit in the Service through which a Customer creates filesystems, adds members and issues Credentials.
- Authorised User: any person the Customer allows to use the Service under its organisations, including members, invitees, employees, contractors and the Customer's own customers or users.
- Agent: any software that acts for the Customer or an Authorised User, including AI agents, scripts, CI jobs, sandboxes and backends.
- Credentials: sign-in sessions, CLI logins, API keys, one-time mount tickets, mount session certificates and any other means of access the Service issues.
- Customer Content: files, directory and file names, paths, metadata and other material stored or transmitted through the Service by or for the Customer.
- Mount: a connection through which a filesystem is used as a directory, read-only or read-write.
3. The Service
3.1 What it is. The Service lets a Customer create hosted filesystems and
mount them on its machines, sandboxes and servers through authorised
clients, such as the mountable command-line tool. The Customer controls
access through organisation roles, grants and Credentials.
3.2 Changes and discontinuation. We may add, change, limit or remove features, interfaces, limits, quotas and supported clients or platforms at any time. We may also discontinue the Service, in whole or in part. Before discontinuing the whole Service, we give notice where reasonably possible, and in any case as required by law, so that the Customer can retrieve its Customer Content under section 12. For Consumers, section 19.6 also applies.
3.3 No service levels. We do not commit to any level of availability, performance, capacity, durability, consistency, recovery, backup or support response. The Service may be interrupted, slow, unavailable or limited, including during maintenance, through failures of our systems or our providers, and through events described in section 17. Any backups we make are for our own operational purposes. They are not a service to the Customer, and we do not undertake to restore Customer Content from them.
3.4 Third-party services. The Service relies on third-party providers. Sign-in through a third-party identity provider is subject to that provider's terms. We are not responsible for services that the Customer uses alongside the Service, such as sandboxes, AI models and tools, CI systems or hosting, or for their availability, security, terms or data practices.
3.5 Open-source software. The mountable command-line tool and the
skill and MCP server distributed with it are open-source software. They are
licensed under the licence stated in their repository, which governs that
software, including its disclaimer of warranties. These Terms govern the
Service that the software connects to.
4. Accounts, organisations and Credentials
4.1 Accurate information. The Customer must give accurate account and billing information and keep it up to date.
4.2 Customer control. The Customer decides who belongs to its organisations and in what role, and which grants, API keys, tickets and mount sessions exist, including whether they are read-only or read-write. If the Customer gives its own customers or users access, it does so at its own responsibility, and they are its Authorised Users. Before submitting an invitee's personal data to Mountable, the Customer must provide the invitee with Mountable's Privacy Policy.
4.3 Responsibility for use. As between the parties, anything done with the Customer's Credentials, whether by Authorised Users, Agents or anyone else who obtained them, is treated as done by the Customer. This does not apply to the extent the misuse resulted from our breach of our security obligations.
4.4 Keeping Credentials safe. The Customer must keep Credentials secret. It must not place API keys or tickets where unauthorised people or Agents can read them. If the Customer suspects that a Credential is compromised, it must revoke it and tell us without undue delay.
4.5 Instructions. We may rely on any instruction given through the Service with valid Credentials.
5. Agents and automated use
5.1 Customer responsibility. The Service is designed to be used by Agents. The Customer decides which Agents get access and with what permissions, and it is responsible for what they do. This includes actions it did not intend, such as an Agent that deletes or overwrites files, exposes a Credential, or follows instructions hidden in content it reads (prompt injection). The Customer is responsible for operations its Agents initiate within their authorised access. Operations remain subject to the Service's restrictions and availability.
5.2 Least privilege. The Customer should use read-only access where writing is not needed, separate Credentials for separate uses, short-lived tickets, and prompt revocation of Credentials it no longer needs.
5.3 Third-party AI services. If the Customer's Agents read Customer Content and send it to AI models or other third-party services, that is the Customer's decision. Those transfers are governed by the Customer's relationship with those third parties. They are not our sub-processors, and we are not responsible for how they process data.
5.4 Suitability. The Customer must check that the Service suits its workload, including how changes become visible across several mounts, how locks and concurrent writers behave, and which file operations and sizes are supported. Documentation of these behaviours describes the Service from time to time and may change.
6. Customer Content
6.1 Ownership. The Customer keeps all rights in its Customer Content.
6.2 Licence to us. The Customer grants us a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, back up, secure and otherwise process Customer Content. The licence lasts for the term of the Agreement and any retrieval or retention period after it. We may use it as needed to provide, maintain and protect the Service, to comply with law, and as the Customer instructs through the Service. We do not access Customer Content for other purposes.
6.3 Customer warranties. The Customer confirms that it has all rights, permissions and lawful bases needed to store and share its Customer Content through the Service, including any personal data of other people, and that the content is lawful. We do not review Customer Content and are not responsible for it.
6.4 Keep your own copies. The Service is not a backup service. The Customer is responsible for keeping independent copies of any Customer Content it cannot afford to lose. Customer Content can be lost, corrupted or become unavailable, including through operations by Authorised Users or Agents with read-write access, which the Service carries out as instructed.
6.5 Deletion. Deleting a file through a mount removes it from the
filesystem. Deleting a filesystem or an organisation in the console ends
access to it, but does not by itself erase stored files, records or backup
copies. To ask for erasure, contact support@mountable.io. Erasure is subject
to the retention duties described in the Privacy Policy.
7. Acceptable use
7.1 The Customer must not, and must ensure that its Authorised Users and Agents do not, use the Service to:
- store, distribute or give access to illegal content, including child sexual abuse material, or content that infringes the rights of others;
- distribute malware or use the Service as part of an attack;
- access or try to access data, filesystems or accounts it is not authorised to access, or bypass access controls, quotas, rate limits or usage measurement;
- interfere with, overload or disrupt the Service, its providers or other customers, or test its security without our written permission;
- use Credentials outside their authorised scope or share them with unauthorised parties;
- breach applicable law, including sanctions and export-control law; or
- run systems whose failure could cause death, personal injury or serious environmental damage.
7.2 Monitoring. We may monitor technical use of the Service, such as traffic, usage records and logs, to protect the Service and enforce these Terms.
7.3 Security reports. Good-faith security reports can be sent to
support@mountable.io.
8. Reports of illegal content
8.1 Point of contact. support@mountable.io is our single point of contact
for recipients of the Service and for authorities under the Digital Services
Act (Regulation (EU) 2022/2065, the "DSA"). You can write to us in Czech or
English.
8.2 Notices. Anyone can tell us about content in the Service that they consider illegal. A notice should include:
- an explanation of why the content is considered illegal;
- information that identifies the content, such as the filesystem identifier and path, or a link;
- the sender's name and email address, which are not required for notices about child sexual abuse offences; and
- a statement that the sender believes in good faith that the notice is accurate and complete.
8.3 Handling. We handle notices and orders from authorities as the DSA requires. Where the sender gave contact details, we confirm receipt and tell them our decision. We do not generally monitor Customer Content. We do not use automated means to decide on notices.
8.4 Restrictions. We may remove or disable access to content, or
restrict mounts, Credentials or accounts, if we consider content illegal or
contrary to these Terms. Where the DSA requires, we give the affected
Customer a statement of reasons. The Customer can contest our decision by
replying to it or by writing to support@mountable.io, and it can also go to
court.
9. Prices and payment
9.1 Prices. The Customer pays for its use of the Service at the prices in the price list published on the Website. Prices are based on usage, such as the amount of data stored, the data downloaded and the number of files. The price list may set free allowances, minimum amounts, currencies and other pricing rules. Usage is charged only from the effective date of a price list that applies to it. We may offer use free of charge or with free allowances, and we may change or end such offers for the future.
9.2 Price changes. We may publish a revised price list at any time, including changes to prices, units, allowances and pricing rules. Revised prices apply only to usage after their effective time, never to earlier usage. A revised price list applies to new Customers from its effective time.
9.3 Existing Customers. For an existing Agreement, a price change takes effect subject to the applicable statutory requirements:
- We notify the Customer's organisation owners by email to their account addresses of the change, its effective time, and how to reject it and terminate the Agreement without a termination penalty.
- Where the law requires that the Customer have an opportunity to obtain equivalent services elsewhere, the change does not apply to that Customer before that opportunity has been given. Until then the existing prices apply.
- A Customer who rejects the change can terminate the Agreement before the change applies to it. A Customer who continues to use the Service after the change applies to it accepts the change.
- Storage continues to count as usage until the relevant filesystems are deleted or the Agreement ends.
9.4 Grounds for Consumers. For Consumers, we change prices only because of changes in applicable law or taxes, in the costs of third-party inputs we use to provide the Service (such as hosting, storage, network or payment processing), or in technical or security requirements, and only to an extent reasonably related to that change.
9.5 Payment method. We may require a valid payment method before the Customer creates filesystems or continues to use the Service. The Customer authorises us and our payment processor to charge that payment method for all amounts due. Card details are entered directly with our payment processor.
9.6 Invoices and currency. We invoice usage in arrears for the billing periods we set and charge the saved payment method. The Customer chooses the billing currency, from those the price list offers, when saving the first payment method for an organisation. We may keep that currency for an organisation once it is set.
9.7 Measurement. Usage is measured by the Service and calculated under the applicable price list. Our usage records are evidence of usage and may be challenged. This clause does not change statutory burdens of proof or restrict the Customer's right to contest a charge.
9.8 Taxes. Prices exclude VAT and other taxes unless the price list states otherwise. We add taxes where law requires. The Customer must give a correct billing address and, where applicable, a valid VAT number. The Customer is responsible for any tax it must account for itself.
9.9 Late payment. If a charge fails or an invoice is unpaid when due, we may suspend or limit all or part of the Service until all overdue amounts are paid. For example, we may refuse new read-write mounts or new filesystems and end existing read-write sessions. We may also charge default interest at the statutory rate. A suspension for nonpayment does not by itself delete Customer Content. If overdue amounts remain unpaid, we may terminate the Agreement under section 11.
9.10 Disputes and refunds. Billing questions and disputes can be sent to
support@mountable.io. Undisputed amounts remain payable. Amounts for usage
already provided are not refundable, except where we state otherwise or the
law requires a refund.
10. Suspension
10.1 We may suspend or limit the Service immediately, in whole or in part, for the Customer or for specific Authorised Users, Credentials or filesystems, if we reasonably consider it necessary because of:
- a breach of these Terms, including section 7;
- a risk to the security or integrity of the Service, our providers, other customers or third parties;
- illegal content or use, or suspected fraud;
- a requirement of law, an authority or one of our providers;
- overdue payment under section 9.9; or
- load that endangers the operation of the Service.
10.2 Where reasonably possible and allowed by law, we tell the Customer about a suspension and its reason. Charges for Customer Content that remains stored continue to accrue during a suspension.
11. Termination
11.1 By the Customer. The Customer can stop using the Service at any time.
To end the Agreement, the Customer can delete its organisations in the
console or write to support@mountable.io.
11.2 By us. We may terminate the Agreement with reasonable notice. We may terminate it immediately, by notice, for a material breach, unlawful use, unpaid overdue amounts, a security threat, or where law or our providers require it.
11.3 Effect. When the Agreement ends, access to the Service ends and Credentials are revoked, subject to section 12. Amounts for usage up to that time remain payable. Sections that by their nature should survive termination do so, including sections 6, 9, 12 and 14 to 21.
12. Retrieving Customer Content
12.1 During the Agreement. The Customer can copy its Customer Content through an authorised mount at any time while it has access, including read-only access.
12.2 After the Agreement ends. The Customer should retrieve its Customer
Content before termination. Where mandatory law gives a right to retrieve or
return content after termination, the Customer may exercise it through
support@mountable.io for the applicable statutory period, including under
sections 12.3 and 18.2. After any applicable period we may delete Customer
Content, subject to mandatory retention and erasure duties. We need not give
access to content that is illegal or subject to a restriction under
section 8.
12.3 Switching under the EU Data Act. Where Regulation (EU) 2023/2854
(the "Data Act") applies, the Customer can ask, by writing to
support@mountable.io, to switch to another provider or to its own
infrastructure, or to have its exportable data erased without switching.
- Exportable data. All Customer Content (files, directories, paths and file metadata), and the Customer-specific configuration and records of its organisations: members, roles, groups, invitations, filesystems and their settings, grants, API key metadata, mount session records and usage records. Excluded are our software and know-how, our internal security records, and the secrets behind Credentials.
- Methods and formats. Customer Content is retrieved by mounting a
filesystem and copying it with ordinary tools; files keep their own
formats. Configuration and usage records are retrieved as JSON through the
API, whose OpenAPI description is published in the documentation
(
/docs/api,/docs/cli). We provide them on request where the API does not expose them. - Process. Switching begins after a notice period of not more than two months and completes without undue delay within 30 calendar days. This is subject to the Act's justified extension where 30 days is technically unfeasible, and to the Customer's right to extend the transitional period once. During switching, we provide the assistance, continuity of service, information on known risks and security that the Act requires.
- Termination. We notify the Customer when the Agreement terminates. It terminates on successful switching or, for an erasure-only request, at the end of the notice period.
- Retrieval and erasure. Retrieval remains available for at least 30 calendar days after the transitional period. Following successful switching, all exportable data and digital assets are erased after the retrieval period, or a later agreed period, subject to mandatory lawful retention.
- Charges. We charge for switching only as the Data Act permits.
- Infrastructure and governmental access. The infrastructure jurisdictions and the measures against governmental access required by Article 28 of the Data Act are described in section 6 of the Privacy Policy.
13. Intellectual property
13.1 We and our licensors keep all rights in the Service, the Website, our software, documentation and the Mountable name and logos. We grant the Customer a limited, non-exclusive, non-transferable right to use the Service under these Terms during the Agreement.
13.2 Open-source components remain subject to their own licences.
13.3 Except as mandatory law or an open-source licence allows, the Customer must not copy, reverse engineer or resell the Service. It must not use our name or logos without our permission.
13.4 We may use feedback and suggestions about the Service freely and without obligation.
14. No warranties
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we exclude all warranties and conditions, express or implied. This includes warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted, error-free or secure operation, as well as any warranty that Customer Content will be preserved. This section does not affect a Consumer's statutory rights.
15. Liability
15.1 What is not limited. Nothing in the Agreement excludes or limits liability that cannot be excluded or limited by law. This includes liability for harm caused intentionally or through gross negligence, for harm to a person's life, health or other natural rights, and under mandatory consumer law. Nothing in this section limits the Customer's payment and indemnity obligations.
15.2 Excluded losses. To the fullest extent permitted by law, we are not liable to a business Customer for any of the following:
- indirect or consequential loss;
- loss of profit, revenue, business or goodwill;
- loss or corruption of data, to the extent the Customer could have avoided it by keeping its own copies under section 6.4;
- the cost of substitute services; or
- loss caused by the Customer, its Authorised Users or Agents, misuse of its Credentials, third-party services, unavailability of the Service, or events under section 17.
These exclusions do not eliminate remedies or liability for breach of our essential obligations concerning Customer Content where mandatory law prohibits their exclusion. They also do not limit the rights that law protects for a weaker party. Such claims remain subject to section 15.3 to the extent the law allows.
15.3 Cap. To the fullest extent permitted by law, our total liability to a business Customer arising out of or in connection with the Agreement is limited to the greater of:
- the fees the Customer paid us in the 12 months before the event giving rise to the claim; and
- EUR 500.
15.4 Consumers. Our liability to a Consumer is governed by mandatory law. The limits in this section apply to a Consumer only to the extent that law allows.
16. Indemnity
16.1 This section applies only to business Customers. The Customer must defend and indemnify us, our affiliates, our providers and our and their officers and employees against third-party claims, and the resulting losses and reasonable costs, including legal fees. This applies to the extent the claim is caused by the Customer's breach of these Terms, applicable law or third-party rights, including through its Customer Content, Authorised Users, Agents, Credentials or its own customers and users.
No indemnity is due to the extent the claim or loss results from the indemnified party's own breach, negligence or unlawful conduct. Regulatory duties remain with the party responsible for them. Fines are reimbursable only where such reimbursement is lawful.
16.2 We will tell the Customer about a claim covered by this section. We may take control of its defence at the Customer's expense, and the Customer must cooperate. The Customer must not settle a claim in a way that admits fault for us or imposes obligations on us without our consent.
17. Events beyond our control
17.1 Neither party is liable for a failure or delay in performance caused by events beyond its reasonable control. Payment obligations are not covered by this section. Such events include:
- natural disasters, epidemics, war, terrorism and civil unrest;
- government actions and sanctions;
- power, network or internet failures;
- cyberattacks, including denial-of-service attacks;
- failures of or restrictions imposed by hosting, storage, network or other providers; and
- changes in law.
17.2 The affected party must take reasonable steps to limit the effect of the event. If the event lasts more than 30 days, either party may terminate the Agreement by notice.
18. Personal data
18.1 Privacy Policy. The Privacy Policy describes the personal data that we process as controller.
18.2 Processing for the Customer. Customer Content may contain personal data. For that data, the Customer acts as controller, or as a processor authorised by its controller. We act correspondingly as processor or sub-processor under Article 28 of the GDPR (Regulation (EU) 2016/679). The Customer warrants that it has authority to give the instructions and authorisations in this section. This section forms the processing agreement between us.
- Subject matter, duration and nature. Subject matter: hosting the Customer Content. Duration: the term of the Agreement and the periods in section 12. Nature: storage, transmission, backup and security of the data to provide the Service.
- Data and people. The types of personal data and categories of data subjects are those the Customer chooses to store.
- Instructions. The Agreement and the Customer's use and configuration of the Service are the Customer's documented instructions, including on international transfers. We process the data only on those instructions, unless Union or Member State law requires otherwise. In that case we tell the Customer before processing, unless that law forbids this. If, in our opinion, an instruction infringes EU or Member State data protection law, we tell the Customer immediately. We may suspend that instruction until it is resolved.
- Confidentiality and security. People we authorise to process the data are bound by confidentiality. We take security measures appropriate to the risk under Article 32 of the GDPR.
- Sub-processors. The Customer generally authorises us to use
sub-processors, such as hosting, storage, backup, network and monitoring
providers. We bind each one to equivalent data protection obligations. The
identities of current sub-processors and details of their processing are
available to the Customer at
support@mountable.io. We notify the organisation owners by email to their account addresses of each intended addition or replacement before its use, giving them a reasonable opportunity to object. If an objection cannot be resolved, processing by the proposed sub-processor does not begin for that Customer before termination or another lawful resolution. - Assistance. Taking into account the nature of the processing and the information available to us, we help the Customer to respond to data subjects' requests and to meet its obligations under Articles 32 to 36 of the GDPR. We may charge reasonable costs for help beyond the Service's standard features.
- Breaches. We notify the Customer of a personal data breach affecting this data without undue delay after becoming aware of it.
- End of processing. When the processing service ends, we return or delete the personal data, at the Customer's choice, and delete existing copies, including backup copies, unless Union or Member State law requires their retention. Any retrieval period in section 12 remains subject to that choice and to mandatory law. The safeguards in this section continue until return or deletion is complete.
- Audits. We make available the information needed to demonstrate compliance with Article 28 of the GDPR. We allow audits by the Customer or an auditor it mandates, with reasonable notice, under confidentiality and at the Customer's cost.
- Transfers. Transfers outside the European Economic Area follow the safeguards described in the Privacy Policy.
19. Consumers
19.1 Mandatory rights. This section applies only to Consumers. Nothing in these Terms limits rights that a Consumer has under mandatory law. Section 16 does not apply to Consumers.
19.2 Right of withdrawal. A Consumer may withdraw from the Agreement
within 14 days of its conclusion without giving a reason. To withdraw, the
Consumer sends a clear statement to support@mountable.io or to our
registered office, for example using the model form at the end of these
Terms.
19.3 Starting during the withdrawal period. A Consumer who wants paid performance to begin during the withdrawal period must expressly request this before performance begins. If the Consumer then withdraws, a proportionate charge for the performance supplied before the withdrawal is payable only where the statutory conditions, including the required information and the express request, have been met. Otherwise no such charge is payable. Starting an ongoing service does not by itself end the right of withdrawal. We refund any payment we must return as the law requires.
19.4 Confirmation. When a Consumer first saves a payment card, we confirm the concluded Agreement by email before performance of the paid service begins. The email links to the version of these Terms in force and our Privacy Policy, and states the last day of the withdrawal period and how to withdraw.
19.5 Conformity. The Consumer's rights for defective performance are
governed by the Czech Civil Code, including its provisions on digital
content and digital services. Complaints can be sent to
support@mountable.io.
19.6 Changes to the Service. Beyond changes needed to keep the Service in conformity, we may modify a Consumer's ongoing service because of changes in law, security requirements or the technical environment. Such a modification is made without additional cost to the Consumer. We inform the Consumer clearly of the modification. Where it affects the Consumer's access to or use of the Service negatively and more than minorly, the statutory advance information on a durable medium and the statutory right to terminate free of charge apply.
19.7 Out-of-court resolution. A Consumer may submit a consumer dispute to
the Czech Trade Inspection Authority (Česká obchodní inspekce), adr.coi.cz,
adr@coi.cz. This must be done within one year of first raising the claim
with us. The Czech Trade Inspection Authority also supervises compliance
with consumer protection law.
20. Changes to these Terms
20.1 We may change these Terms at any time, for example to reflect changes to the Service, the law or our business. We publish each version on the Website with its effective date.
20.2 Changes that do not adversely affect existing Customers, such as clarifications, corrections or new features, take effect on publication.
20.3 For other changes to an existing Agreement, the mechanism of section 9.3 applies. We notify the organisation owners by email to their account addresses of the change, its effective time, and how to reject it and terminate the Agreement without a termination penalty. The change does not apply to that Customer before any opportunity the law requires to obtain equivalent services elsewhere has been given; until then the existing Terms apply. A Customer who continues to use the Service after the change applies to it accepts the change. A change does not affect rights and obligations that arose before it took effect.
21. General
21.1 Governing law. The Agreement is governed by Czech law, in particular the Civil Code (Act No. 89/2012 Coll.). For a Consumer, this choice does not remove the protection of mandatory law of the country where the Consumer habitually resides.
21.2 Courts. For business Customers, disputes are decided by the Czech courts competent for our registered office. For Consumers, jurisdiction follows mandatory rules.
21.3 Assignment. The Customer may not assign the Agreement without our consent. We may assign it to an affiliate or to a successor in a merger, acquisition or sale of the business, with notice to the Customer.
21.4 Set-off. A business Customer may not set off its claims against amounts it owes us.
21.5 Notices. We send notices to the Customer by email to the address on
its account or in the console. The Customer sends notices to
support@mountable.io or to our registered office.
21.6 Language. These Terms are written in English. If we provide a translation, the English version prevails unless mandatory law requires otherwise.
21.7 Whole agreement and severability. The Agreement is the entire agreement on its subject matter. If a provision is invalid or unenforceable, it does not apply, and the rest of the Agreement continues to the extent permitted by law. An unfair consumer term is not rewritten to preserve its effect. Not exercising a right does not waive it. The parties are independent contractors.
